1. Acceptance of Terms

By accessing or using any website, platform, product, or service provided by CloudHedge Technologies Inc. ("CloudHedge," "we," "us," or "our"), including but not limited to CHAI Universe™, CHAI DART™, and CHAI Flow™ (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you (whether individually or on behalf of the entity you represent) and CloudHedge. We reserve the right to update these Terms at any time, and your continued use of the Services following any changes constitutes acceptance of those changes.

2. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and industry standards.

You shall not:

• Use the Services in any manner that could disable, overburden, damage, or impair the Services or interfere with any other party's use of the Services.
• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services.
• Use any automated means, including robots, crawlers, or scrapers, to access the Services for any purpose without our express written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Services.
• Sublicense, resell, lease, or otherwise transfer access to the Services without prior written consent from CloudHedge.

3. Accounts and Access

Certain features of the Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify CloudHedge immediately of any unauthorized use of your account.

CloudHedge reserves the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or any applicable law.

4. Intellectual Property

All content, software, technology, designs, trademarks, and other intellectual property associated with the Services — including but not limited to CHAI™, CHAI Universe™, CHAI DART™, CHAI Flow™, and CHAI Compass™ — are the exclusive property of CloudHedge Technologies Inc. or its licensors, and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Services or any CloudHedge intellectual property, except for the limited right to use the Services in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Services without CloudHedge's prior written consent.

5. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in our Privacy Policy.

You retain ownership of any data you submit to the Services. You grant CloudHedge a limited license to process, store, and analyze such data solely for the purpose of providing and improving the Services.

6. Service Availability and Modifications

CloudHedge strives to maintain high availability of the Services but does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

We may perform scheduled maintenance that temporarily affects service availability. Where practicable, we will provide advance notice of any planned downtime.

7. Limitation of Liability

To the maximum extent permitted by applicable law, CloudHedge Technologies Inc. and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of or inability to use the Services — regardless of the theory of liability.

In no event shall CloudHedge's total cumulative liability exceed the amounts you have paid to CloudHedge in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

8. Indemnification

You agree to indemnify, defend, and hold harmless CloudHedge Technologies Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of laws principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Middlesex County, New Jersey.

10. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
